Solihull & District Driving Instructor Rules
The following documents the rules and conditions of membership for "Solihull & Disrict Driving Instructors".
1. Name
Our full name is "Solihull & District Driving Instructors' Association" (thereinafter refferred to as "the association") but more appropriate a shortened name "Driving Instructors Association (Solihull)" may be used.
2. Purpose
The purpose of the association is set out in a document headed "objectives" issue 2a dated 8th February 1993 and including any subsequent amendments that may be agreed upon by the membership.
3. Membership
(a) To be considered for Full membership a person must have passed all the A.D.I. qualifying examinations and be currently entered on the A.D.I. Register. Membership of the association is limited to 50. Couples must each join in their own right. Anyone applying for membership or becoming a member or renewing membership does so on the understanding that they agree with and abide by the association's current rules and service charter.
(b) An A.G.M. can propose an existing full member becomes and Honorary member. An Honorary member has the same services and privileges as a full member (e.g. receiving newsletters) except that they do not pay a subscription nor have a vote. Honorary members will be invited to make a donation.
(c) A Trainee (P.D.I.) can apply for Provisional membership but cannot be considered for Full membership.
4. New Membership
A prospective member must apply for membership giving such details as may be requested and aso enclose the joining fee and subscription thereby becomeing a provisional member. Full membership will normally be granted after a six month probationary period subject to the approval of a members' meeting, whereupon a membership pack will be issued. The contents of the pack may vary at the committee's discretion. If membership is not granted then a full refund of subscription and joining fee will be made. A provisional member cannot vote nor use the association name and logo but does receive all other services and privileges of a full member.
5. Membership Renewal
Membership renewal can only be accepted if the appropriate subscription is received within two months of the due date and is accompanied by the appropriate renewal form. Also he/she must still meet the requirements in rule three. Any ;renewal' outside these terms will be dealt with as a 'new member'
6. Membership Termination
Members are obliged to inform the chairman or secretary of any current or impending endorsements and/or convictions and/or any other matter which might put the good name of the association into disrepute. If appropriate the matter can be dealt with by the associations offices or the details passed to the membership for decision.
7. Meeting
(a) The Annual General Meeting (A.G.M.) shall be held in April. An Emergency General Meeting (E.G.M.) can be called by the Committee or upon written request to the committee providing the purpose of the meeting is stated and the request is signed by at least one third of the paid up members. Members must be notified of an A.G.M or E.G.M. At least 14 days before the meeting.
(b) There must be a members' meeting at least once every two months (inc, the A.G.M.). There must be a full Committee meeting at least once every three months. Sub-committee meetings can be held as required but must consist of at least three people one of whom must be a member of the full Committee. A sub-committee is responsible to the full committee.
(c) Minutes must be kept for all meeting and must be available to any member upon request. Non-Members may attend any members meeting by invitation only and speak at the Chairmans discretion, however they will not be entitled to vote.
8. Voting
(a) Only full members are eligible to vote providing they have attended at least two meeting in the previous months.
(b) Changing to these rules and regulations. Changes to this document can only be made at the A.G.M. or an E.G.M. All members must have been notified of the proposed changes(s) at least 7 days before the meeting and at least two thirds of those voting must be in favour of the change(s). The Chairman of the meeting does not have a casting vote.
(c) Any other business at the properly convened meeting requires at least half od those voting to be in favour. The Chairman of the meeting has a casting vote if required.
(d) The quorum for the committee meeting is that at least half of the eligible to be present are at the meeting. The quorum for members' meeting is that at least one third of those eligible to be present are at the meeting.
9. Subscriptions and Joining Fee
There are decided annually at the A.G.M. with the subscription becoming due at the close of the A.G.M.
10. Advertising and Publicity
(a) Only current Full and Honorary members may use the association's name and logo (e.g. car stickers). All members agree to cease using the name and logo at the earliest opportunity upon their no longer being a member. The association may take whatever action it sees fit to ensure compliance with this clause.
(b) No member, committee or otherwise, may take any claims or representations to any third parties on behalf of the association without the express permission of the committee. Copies of all correspondence must be forwarded to the General Secretary immediately.
(c) All members are obliged to drive in a professional and competent manner especially whilst displaying a headboard and/or association sticker
11. Committee
(a) The Committee shall consist of current Full members and comprise the following:- (i) Chairman (ii) General Secretary (iii) Treasurer (iv) Training Officer (v) Highways Officer (vi) Editor. At the first Committee meeting following the A.G.M. the Committee shall elect one of the above to act as Vice Chairman. [The members may make a recommendation for the post of VC at the A.G.M. if desired]. In addition to the above the committ has the power to co-opt up to three other members during the year to help with any specific tasks providing the members are notified.
(b) To be eligible for nomination a member must:- (i) e a Full and paid up member for the previous year; and (ii) have attended at least 2 thirds of the previous year's meeting; and (iii) be able to attend at least two thirds of next year's meetings; and (iv) be able to attend at least two thirds of next years committee meetings. to be eligible for re-nomination a serving Committee member must also have attended the previous year's Committee meetings.
(c) Nominations must be received by the General Secretary in writing with a proposer and seconder (who both must be Full or Honorary members) and also the Nominee's consent no less than fourteen days before the date of the A.G.M. In the eent that there is more than one nomination for a position a vote will be taken at the A.G.M. It is recommended that the Chairman does not hold office for more than two consecutive years.
12. Accounting
(a) The association's financial year ends on March 31st. The Treasurer must provide each member with an income and expenditure account and a balance sheet at the A.G.M. The treasurer may make a recommendation to the A.G.M. indicating the level of subscriptions and fees necessary during the coming year.
(b) Whilst the funds held are below £1,000 the funds may be held jointly by the Treasurer and one other Committee member (preferably the Chairman). If funds exceed £1,000 they must be kept in an association account with any two from the Committee to sign each withdrawal.
(c) The Committee must ensure that funds do not go into the red by more than £1 per member without the authority of a members meeting. A member's meeting can authorise the raising of additional funds by means of a levy on all members.
(d) In the even that the association is wound up all surplus funds must be donated to a charity chosen by the closure meeting (which must be an A.G.M. or E.G.M.)
13. Notices of Motion
Notices of motion for discussion at the A.G.M. must be received by the General Secretary in writing no less than fourteen days before the date of the A.G.M. They must be proposed and seconded by two Full members.
11. Liability
The association is not liable for the actions of any individual member or non-member.
